ALGEMENE VOORWAARDEN VAN DIENSTVERLENING

1. DEBIJE | LEGAL is de handelsnaam van de advocatenpraktijk van mr J.C. Debije, die als advocaat is ingeschreven bij de Nederlandse Orde van Advocaten (www.advocatenorde.nl). DEBIJE | LEGAL is ingeschreven in het Handelsregister van de Kamer van Koophandel onder nummer 54350441. Het BTW-nummer van DEBIJE | LEGAL is NL001678031B15.

2. Deze algemene voorwaarden zijn van toepassing op uw opdracht aan DEBIJE | LEGAL, indien vóór of bij aanvaarding van de opdracht door DEBIJE | LEGAL naar deze algemene voorwaarden is verwezen. Zij zijn bovendien van toepassing op uw eventuele volgende opdrachten, en op wijzigingen of aanvullingen van uw opdracht, ook indien daarbij niet opnieuw naar deze algemene voorwaarden is verwezen. Ingeval van tegenstrijdigheid tussen deze algemene voorwaarden en de opdrachtbevestiging, prevaleert het bepaalde in de opdrachtbevestiging.

3. Op grond van de geldende wet- en regelgeving is DEBIJE | LEGAL verplicht om uw identiteit vast te stellen en ongebruikelijke transacties onder omstandigheden bij de autoriteiten te melden.

4. Iedere opdracht zal worden uitgevoerd met professionele zorgvuldigheid, waarbij DEBIJE | LEGAL zich naar beste vermogen zal inspannen om het door u met de opdracht beoogde resultaat te behalen. Dit betreft geen resultaatsverbintenis, dus DEBIJE | LEGAL garandeert nimmer dat het beoogde resultaat ook daadwerkelijk kan of zal worden behaald. Bij de uitvoering van een opdracht zal uw belang leidend zijn, maar zal natuurlijk ook de geldende regelgeving voor advocaten (waaronder de Gedragsregels voor Advocaten en de verordeningen en richtlijnen van de Nederlandse Orde van Advocaten) in acht worden genomen. De uitvoering van de opdracht geschiedt uitsluitend ten behoeve van u: derden kunnen daaraan geen rechten ontlenen.

5. DEBIJE | LEGAL is conform de daarvoor geldende richtlijnen van de Nederlandse Orde van Advocaten verzekerd tegen aansprakelijkheid voor beroepsfouten. Op verzoek wordt u een dekkingsoverzicht en verzekeringsverklaring toegezonden. Iedere aansprakelijkheid van DEBIJE | LEGAL is beperkt tot het bedrag waarop in het betreffende geval onder de door haar gesloten beroepsaansprakelijkheids-verzekering aanspraak op uitkering bestaat, vermeerderd met het bedrag van het eigen risico dat volgens de polisvoorwaarden niet ten laste van de verzekeraar is. Indien om welke reden dan ook geen uitkering krachtens deze verzekering mocht plaatsvinden, is iedere aansprakelijkheid beperkt tot het bedrag van het door u aan DEBIJE | LEGAL betaalde honorarium in verband met de opdracht die tot de aansprakelijkheid heeft geleid. Uw eventuele rechtsvordering tot betaling van schadevergoeding vervalt door verloop van een jaar na de dag waarop u bekend werd met de schade en de mogelijke aansprakelijkheid van DEBIJE | LEGAL.

6. DEBIJE | LEGAL is gerechtigd om bij de uitvoering van uw opdracht derden in te schakelen. Bij het inschakelen van derden (behalve in geval van deurwaardersbijstand) zal zoveel mogelijk tevoren overleg met u plaats vinden, indien dat in de relatie met u gebruikelijk of redelijk is. Bij de selectie van derden zal in ieder geval de nodige zorgvuldigheid worden betracht. DEBIJE | LEGAL is niet aansprakelijk voor tekortkomingen van aldus ingeschakelde derden.

7. U vrijwaart DEBIJE | LEGAL tegen vorderingen van derden, die stellen schade te hebben geleden door of verband houdende met de door DEBIJE | LEGAL voor u uitgevoerde opdracht, alsmede tegen de kosten van DEBIJE | LEGAL om zich tegen dergelijke vorderingen te verweren.

8. Tenzij schriftelijk anders overeengekomen, of u in aanmerking komt voor door de overheid gefinancierde rechtsbijstand, zal het honorarium worden berekend aan de hand van het aantal gewerkte uren vermenigvuldigd met de jaarlijks door DEBIJE | LEGAL vast te stellen uurtarieven.

9. Door DEBIJE | LEGAL in het kader van de opdracht gemaakte externe kosten (zoals griffierechten en deurwaarderskosten) zullen zonder winstopslag aan u worden doorbelast. Voor de bezwaarlijk te specificeren (interne) kantoorkosten (zoals porti, telefoon-, fax- en kopieerkosten e.d.) zal een forfaitaire opslag van 5% van het honorarium in rekening worden gebracht.

10. De werkzaamheden worden periodiek achteraf, in beginsel maandelijks, aan u in rekening gebracht. De betalingstermijn is 14 dagen, te rekenen vanaf de declaratiedatum. DEBIJE | LEGAL is echter altijd gerechtigd de betaling van een voorschot van u te verlangen. Een betaald voorschot wordt in beginsel verrekend met de laatste declaratie, tenzij anders wordt overeengekomen.

11. DEBIJE | LEGAL heeft een kantoorklachtenregeling. Deze is te vinden op www.debijelegal.nl/klachten.

12. De rechtsverhouding tussen u en DEBIJE | LEGAL is onderworpen aan Nederlands recht. Ten aanzien van eventuele geschillen is de Rechtbank Den Haag bevoegd. DEBIJE | LEGAL heeft echter het recht om geschillen voor te leggen aan de bevoegde rechter van uw woon- of vestigingsplaats.

13. Indien een of meer bepalingen uit deze algemene voorwaarden geheel of gedeeltelijk ongeldig of niet afdwingbaar zullen blijken, worden zij hierbij voor alsdan vervangen door bepalingen waarvoor dit niet geldt en die zoveel mogelijk hetzelfde regelen als de ongeldige of niet afdwingbare bepaling. Voor zover dit noodzakelijk mocht zijn, zullen partijen in alle redelijkheid nader overleg voeren over de precieze bewoordingen van deze in de plaats getreden bepalingen.

14. Deze algemene voorwaarden zijn opgesteld in het Nederlands. De Nederlandse tekst is bindend. De Engelse vertaling is slechts voor uw gemak.

GENERAL CONDITIONS OF SERVICE

1. DEBIJE | LEGAL is the trade name of the law practice of J.C. Debije, who is registered as a lawyer (‘advocaat’) with the Dutch Bar Association ( www.advocatenorde.nl ). DEBIJE | LEGAL is registered in the Trade Register of the Chamber of Commerce under number 54350441. The VAT number of DEBIJE | LEGAL is NL001678031B15.

2. These general terms and conditions apply to your assignment to DEBIJE | LEGAL, if, before or upon acceptance of the order by DEBIJE | LEGAL has been referred to these terms and conditions. They also apply to your subsequent assignments, and to changes or additions to your order, even if no further reference is made to these general terms and conditions. In the event of a contradiction between these general terms and conditions and the order confirmation, the provisions in the order confirmation will prevail.

3. On the basis of the applicable laws and regulations, DEBIJE | LEGAL is obliged to establish your identity and, under circumstances, to report unusual transactions to the authorities.

4. Every assignment will be carried out with professional diligence. DEBIJE | LEGAL will make every effort to achieve the result you aim for with the assignment. This is not a commitment in terms of result, so DEBIJE | LEGAL never guarantees that the intended result can or will actually be achieved. In the execution of an assignment your interest will be the guiding principle, but of course the applicable regulations for lawyers (including the Code of Conduct for Lawyers and the regulations and guidelines of the Dutch Bar Association) will be observed. The execution of the assignment only takes place for the benefit of you: third parties can not derive any rights from this.

5. DEBIJE | LEGAL is insured in accordance with the applicable guidelines of the Netherlands Bar Association against liability for professional errors. Upon request, you will receive an overview of the insurance coverage and insurance statement. Any liability of DEBIJE | LEGAL is limited to the amount to which it is entitled in the relevant case under the professional liability insurance, plus the amount of the deductible which according to the policy conditions is not at the expense of the insurer. If for whatever reason no payment is made under this insurance, any liability is limited to the fees you paid to DEBIJE | LEGAL in connection with the assignment that led to the liability. Your possible legal claim for payment of compensation will lapse one year after the day on which you became aware of the damage and the possible liability of DEBIJE | LEGAL.

6. DEBIJE | LEGAL is entitled to engage third parties in the execution of your assignment. When engaging third parties (except in the case of bailiff assistance), consultation with you will take place as much as possible, in advance, if that is customary or reasonable in the relationship with you. In any case, the necessary care will be exercised in the selection of third parties. DEBIJE | LEGAL is not liable for shortcomings of third parties engaged in this way.

7. You indemnify DEBIJE | LEGAL against claims by third parties, who claim to have suffered damages by or in connection with the assignment executed by DEBIJE | LEGAL upon your instruction, as well as against the costs of DEBIJE | LEGAL to defend itself against such claims.

8. Unless otherwise agreed in writing or you qualify for legal aid funded by the government, the fee will be calculated on the basis of the number of hours worked multiplied by the hourly rates as determined annually by DEBIJE | LEGAL.

9. External costs incurred by DEBIJE | LEGAL within the framework of the assignment (such as court fees and bailiff costs) will be charged to you without surcharge. A flat-rate surcharge of 5% of the fee will be charged for the (internal) office costs (such as postage, telephone, fax and photocopying costs) that are difficult to specify.

10. The activities will be charged to you periodically, in principle monthly. The payment term is 14 days from the invoice date. DEBIJE | LEGAL is, however, always entitled to require payment of a retainer from you. A retainer paid will in principle be settled with the final invoice, unless otherwise agreed.

11. DEBIJE | LEGAL has an internal complaints procedure. This can be found on www.debijelegal.nl/klachten.

12. The legal relationship between you and DEBIJE | LEGAL is subject to Dutch law. The District Court of The Hague has jurisdiction over any disputes. DEBIJE | LEGAL, however, has the right to submit disputes to the competent court of your place of residence or place of business.

13. If one or more provisions of these general terms and conditions are found to be invalid or unenforceable in whole or in part, they will in that case be replaced by provisions for which this does not apply and which regulate as much as possible the same as the invalid or unenforceable provision. Insofar as this is necessary, the parties will consult in all reasonableness about the precise wording of these replacements.

14. These general terms and conditions have been drawn up in Dutch. The Dutch text is binding. The English translation is only for your convenience.
